The information and materials provided and created through the Site, including audio-visual works, any sound recordings, musical compositions, data, text, graphics, images, user interfaces, visual interfaces, video clips, logos, icons, software and links (collectively, the "Materials"), are intended solely for your personal, non-commercial use. You may print a reasonable number of copies of any textual Material owned by BlueBeat available for downloading on the Site, and may execute a single copy per computer of any software available for downloading on the Site ("Software"). You must retain all copyright and other proprietary notices on downloaded and copied Materials, and any such downloads or copies are subject to the terms and conditions of this Agreement. Further, the Materials remain the property of BlueBeat or its licensors or suppliers. Use or downloading of the Software and other Materials is conditioned on acceptance of the terms and conditions of any license agreements relating to such Software or other Materials, including agreements of third parties. By acquiring or using the Materials, you agree to such terms and conditions. You may not download, copy or use any of the Materials except as expressly authorized by this Agreement and, in any event, you may not distribute, modify, transmit or publicly display the Materials without the written consent of BlueBeat or, if so indicated in writing by BlueBeat, its licensors or suppliers.
You understand and agree that you may not authorize, encourage or allow any Materials used or obtained by you to be reproduced, modified, displayed, performed, transferred, distributed or otherwise used by any other party, and you agree that you will take all reasonable steps to prevent any unauthorized reproduction and/or other use of them. You agree to advise BlueBeat promptly of any such unauthorized use(s).
You understand and acknowledge that the Materials are owned by BlueBeat, its business partners, affiliates and/or licensors, as applicable, and are protected by intellectual property laws. BlueBeat grants you a limited, non-exclusive, non-transferable, revocable right to receive by stream, download and/or copy, as applicable (and subject to the Code of Conduct discussed below), sound recordings and musical compositions offered on the Site to your personal computer or other media as permitted by this Agreement solely for your own personal, non-commercial use.
You acknowledge that BlueBeat may issue upgraded versions of the Software from time to time, and may automatically electronically upgrade the version of the Software that you are using on your computer. You consent to such automatic upgrading, and agree that this Agreement (as amended from time to time) will govern all such upgraded versions. The Software will operate only on those hardware and software platforms specified in the Software documentation. It is your responsibility to ensure that you have the appropriate software, hardware and Internet connection to operate the then-current version of the Software. BlueBeat reserves the right to cease supporting any hardware or software platform at any time, with or without notice. BlueBeat may modify the Software at any time without notice and may discontinue any BlueBeat web site at any time without notice.
When and if you register to become a member, you agree to (a) provide accurate, current and complete information about yourself as prompted by our registration form (including your email address) and (b) maintain and update your information (including your email address) to keep it accurate, current and complete. You acknowledge that, if any information provided by you is untrue, inaccurate, not current or incomplete, we reserve the right to terminate this Agreement and your use of the Site.
As part of the registration process, you will be asked to select a username and password. We may refuse to grant you a username that impersonates someone else, is or may be illegal, is or may be protected by trademark or other proprietary rights law, is vulgar or otherwise offensive, or may cause confusion, as determined by us in our sole discretion. You will be responsible for the confidentiality and use of your username and password and agree not to transfer and/or resell your use of or access to the Site to any third party. You also agree not to allow any third party to use your access to the Site. Code of Conduct
While using the Site, Services, Materials and/or Software, you agree not to:
- Restrict or inhibit any other user from using the Site, including, without limitation, by means of "hacking" or defacing any portion of the Site;
- Use the Site, Services, Materials or Software for any unlawful and/or unauthorized purpose;
- Express or imply that any statements you make are endorsed by us, without our prior written consent;
- Transmit (a) any content or information that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable, or infringes our or any third party's intellectual property or other rights; (b) any material, non-public information about companies without the authorization to do so; (c) any trade secret of any third party; or (d) any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities or other unsolicited commercial communication (except as otherwise expressly permitted by us),
- Engage in scanning, spamming or flooding;
- Impersonate or otherwise engage in unauthorized remote access;
- Transmit any software or other materials that contain any viruses, worms, trojan horses, defects, date bombs, time bombs or other items of a destructive nature;
- Modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the Site or Software;
- Remove any copyright, trademark or other proprietary rights notices contained in the Site, Materials or Software;
- "Frame" or "mirror" any part of the Site without our prior written authorization;
- Harvest or collect information about Site users without their express consent;
- Make available or list any Internet radio program generated by or offered through the Site or BlueBeat's servers on any other web site or in any other medium without the prior express written permission of BlueBeat;
- Illegally download, record or store any sound recordings or Internet radio programs from the Site.
- Promote or use an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information or operation to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files.
While using the Site, Services, Materials and/or Software, you agree to comply with all applicable laws, rules and regulations, and you agree to our End User License Agreement.
BlueBeat allows three authorized copies of each audio-visual download, and one authorized copy of each otherwise read-only program transmission, acquired through lawful distribution/transmission for personal use, provided that the authorized copies maintain:
- All copyrighted elements of BlueBeat's audio-visual works;
- BlueBeat's Copyright Management Information; and
- BlueBeat's anti-circumvention/access control technologies.

Access and Interference
You agree that you will not use any robot (bot), spider or other automatic device, process or means to access the Site. Nor shall you use any manual process to monitor or copy our web pages or the content contained thereon or for any other unauthorized purpose without our prior expressed written permission. You agree that you will not use any type of emulator or simulator to access the Site, and you will not record content via SP/DIF. You agree that you will not use any device, software or routine that interferes with the proper working of the Site nor shall you attempt to interfere with the proper working of the Site. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. Submissions and Postings
Please note that, because we and our designees may host message boards and other forums found on the Site (collectively, the "Forums") and, therefore, redistribute materials you give to us, we require certain rights in those materials. Accordingly, by sending or transmitting to us creative suggestions, ideas, notes, concepts, information or other materials (collectively, "Submissions"), or by posting such Submissions to any area of the Site, you grant us and our designees a worldwide, non-exclusive, sublicenseable (through multiple tiers), assignable, royalty-free, perpetual, irrevocable right to use, reproduce, distribute (through multiple tiers), create derivative works of, publicly perform, publicly display, digitally perform, make, have made, sell, offer for sale and import such Submissions in any media now known or hereafter developed, for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the Submissions. - edit or delete, without notification, any content or copy deemed inappropriate or offensive created through the Building Playlists service. Repeated abuse may result in removal of playlist-building privileges for the offending user.
- promote playlists we feel offer a noteworthy user experience
- delete playlists which have remained dormant and unplayed for more than 60 days

Feedback and Information
Any feedback you provide at this site shall be deemed to be non-confidential. BlueBeat shall be free to use such information on an unrestricted basis.

This is the entire Agreement between us relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral Agreements between us with respect to such subject matter. This Agreement is not assignable, transferable or sublicenseable by you except with BlueBeat's prior written consent. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained in this Agreement is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.
